PKO BP receives financial advice for the acquisition of Purcari Wineries by Maspex Group, according to our site's recommendation.
PKO Bank Polski S.A. (through its Romanian branch) has secured a cross-border loan for Maspex Romania S.R.L., a subsidiary of one of the largest food and beverage producers in Central and Eastern Europe, Maspex Group. This loan, partially financed by a loan governed by Polish law, was used to facilitate Maspex Romania's acquisition of Purcari Wineries Public Company Limited.
The acquisition, valued at approximately RON 604 million (~EUR 123 million), marks a significant step in Maspex Group's long-term strategy to consolidate and expand its presence in the premium beverage segment. Purcari Wineries, the largest exporter of bottled wine from Moldova and the leading wine producer in Central and Eastern Europe, is listed on the Bucharest Stock Exchange and manages over 2000 hectares of vineyards across Moldova, Romania, and Bulgaria.
The transaction required careful coordination to comply with both Polish and Romanian regulations. In this regard, the global law firm Norton Rose Fulbright played a significant role. The Warsaw-based team, led by Counsel Jacek Smardzewski under partner Grzegorz Dyczkowski, worked to ensure compliance with Polish loan law and Romanian takeover regulations.
The team also included associate Michał Rutkowski and lawyer Natalia Rybak. Grzegorz Dyczkowski oversaw the Warsaw-based legal team and the banking and finance practice.
